1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between you and Akiwaki ("Akiwaki", "we", "us", or "our"). These Terms govern your access to and use of Akiwaki, Akiwaki Assist, Akiwaki Insight, Akiwaki Core API, our websites, apps, browser extensions, APIs, documentation, beta features, support, and related products and services (collectively, the "Services").

You accept these Terms when you access or use the Services, create an account, install an app or extension, use an API key, click an acceptance button, or purchase a plan. If you use the Services for a company or organization, you represent that you have authority to bind that organization, and "you" includes that organization.

If a separate written agreement signed by Akiwaki applies to your use of a Service, that written agreement controls where it conflicts with these Terms.

2. What the Services Do

Akiwaki provides scheduling intelligence and decision-support tools. Depending on the product and configuration, the Services may help interpret scheduling text, convert times across time zones, identify daylight-saving time changes, surface holiday or weekend context, estimate working-hour fit, suggest meeting times, process availability or free/busy signals, provide output text, or return structured API responses.

3. Informational Decision Support Only

The Services provide informational scheduling intelligence and decision support only. Akiwaki is not an official time source, calendar authority, exchange authority, healthcare provider, legal advisor, financial advisor, tax advisor, logistics system, aviation tool, emergency system, safety system, or mission-critical service.

The Services may help you notice possible scheduling issues, but they do not replace your own review, official sources, professional judgment, provider confirmation, exchange schedules, calendar verification, counterparty confirmation, or legal/compliance review.

4. No Guarantee of Accuracy

Although we aim to provide useful scheduling context, we do not guarantee that any time conversion, time zone, UTC offset, daylight-saving time rule, holiday, market schedule, early closure, working-hour signal, availability suggestion, output text, calendar context, API response, or other Service output is complete, current, reliable, uninterrupted, error-free, or accurate.

Time zones, daylight-saving rules, public holidays, religious or lunar holidays, market schedules, exchange hours, early closures, appointment times, workplace calendars, local practices, and individual availability may change without notice and may vary by source, country, region, city, provider, organization, exchange, platform, user, or device.

Akiwaki is not responsible for inaccurate, incomplete, delayed, stale, or changed information from third-party providers, public sources, official bodies, calendar providers, app platforms, payment providers, exchanges, healthcare providers, employers, users, devices, browsers, networks, or APIs.

5. Your Responsibility to Verify

You are solely responsible for reviewing and independently verifying all dates, times, time zones, locations, recipients, participants, holidays, market hours, appointment times, travel details, calendar events, availability windows, meeting details, deadlines, and other scheduling information before sending, booking, trading, traveling, attending, relying, or taking action.

For critical or sensitive matters, you must confirm directly with official sources, providers, counterparties, exchanges, calendars, healthcare providers, qualified professionals, or other authoritative sources. Do not rely on Akiwaki as your sole verification method.

You are responsible for the accuracy and completeness of the information you enter, paste, select, authorize, transmit, or make available to the Services. If your input is wrong, ambiguous, incomplete, outdated, or misunderstood, the output may be wrong.

6. Changing Conditions Outside Akiwaki's Control

Scheduling conditions can change after a suggestion or API response is generated. Governments may change holidays or daylight-saving rules. Exchanges may add or change early closures. Healthcare providers may reschedule appointments. Employers may update calendars. Travel, transportation, logistics, and operations providers may change schedules. Individuals may become unavailable.

Akiwaki is not responsible for losses, missed meetings, missed appointments, missed deadlines, failed trades, travel disruption, operational disruption, business interruption, medical consequences, financial loss, legal consequences, reputational harm, or other harm caused by changed conditions, external schedules, user decisions, user edits, third-party data, third-party outages, or circumstances outside Akiwaki's reasonable control.

7. No Professional Advice

The Services are not intended to provide financial, investment, trading, medical, legal, tax, employment, immigration, aviation, transportation, logistics, emergency, safety, security, operational, or other professional advice. You should consult official sources and qualified professionals for those matters.

Market, exchange, trading, medical, legal, or other regulated-context warnings are provided only as general reminders to verify with official sources. They are not professional advice or confirmation that any action is safe, lawful, timely, or appropriate.

8. No Mission-Critical or High-Risk Use

The Services are not designed, certified, or intended for use in situations where failure, delay, inaccuracy, interruption, or unavailability could lead to death, personal injury, medical harm, legal default, financial loss, failed trade execution, safety risk, business interruption, operational failure, environmental damage, or other serious harm.

You may not use or rely on the Services as the sole source for emergency response, medical care, financial trading, legal deadlines, aviation, transportation, logistics dispatch, industrial operations, security operations, infrastructure operations, military uses, or other high-risk or mission-critical decisions.

If you choose to use the Services in any regulated, enterprise, safety-sensitive, or high-risk context, you are solely responsible for independent verification, human review, controls, backup systems, disclosures, approvals, compliance, and all consequences of that use.

9. Market, Trading, Medical, and Appointment Warnings

Market hours, exchange holidays, early closures, settlement schedules, trading windows, and related financial schedules may change and must always be confirmed with official exchange or market sources before trading or making financial decisions.

Medical appointments, consultations, health-related calls, and provider schedules must always be confirmed directly with the healthcare provider. Akiwaki does not provide medical advice, appointment confirmation, triage, emergency guidance, or care coordination.

Legal, tax, immigration, court, filing, contractual, compliance, and regulatory deadlines must always be confirmed with qualified professionals or official sources. Akiwaki is not responsible for missed or incorrect deadlines.

10. Beta, Preview, Sandbox, and Experimental Features

Some Services may be offered as beta, preview, staging, sandbox, trial, early-access, or experimental features. These features may be incomplete, inaccurate, unstable, unavailable, modified, rate-limited, suspended, or discontinued at any time, with or without notice.

Free beta access does not guarantee continued free access. We may introduce accounts, paid plans, usage limits, access approvals, waitlists, feature restrictions, or product changes in the future.

11. Accounts, Access, and Security

You may need an account, app installation, browser extension, integration authorization, API key, or other credential to use some Services. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, installation, integration, or API keys.

You must provide accurate account and billing information and keep it updated. You must promptly notify us of suspected unauthorized access, security incidents, credential compromise, or misuse.

We may suspend, limit, throttle, or terminate access if we believe there is abuse, fraud, security risk, nonpayment, excessive usage, legal risk, violation of these Terms, harm to the Services, harm to other users, or misuse of an app, extension, integration, or API.

12. Apps, Extensions, Integrations, and Permissions

Some Services may operate through browser extensions, apps, add-ins, integrations, or device-level features. These products may request permissions needed to provide scheduling assistance, process selected or typed scheduling text, display suggestions, or insert user-approved output.

You are responsible for reviewing requested permissions and deciding whether to install, enable, disable, authorize, revoke, or uninstall any app, extension, add-in, or integration. Third-party platforms, browsers, app stores, operating systems, email providers, calendar providers, and messaging services may change their rules, APIs, permissions, or availability at any time.

Akiwaki is not responsible for third-party platform restrictions, review decisions, outages, permission changes, compatibility issues, or data handling by third-party platforms.

13. User Content and Inputs

"User Content" means text, prompts, scheduling details, selected text, pasted text, calendar or free/busy information, preferences, API inputs, support messages, or other information you provide, authorize, transmit, or make available to the Services. You retain ownership of your User Content.

You grant Akiwaki a limited, worldwide, non-exclusive license to process User Content as necessary to provide, secure, operate, support, maintain, troubleshoot, and improve the Services, subject to our Privacy Policy and any applicable written agreement.

You represent that you have all rights and permissions needed to provide User Content to the Services and that your User Content does not violate law, third-party rights, confidentiality obligations, privacy obligations, contractual obligations, platform rules, or these Terms.

Do not provide sensitive personal data, health information, financial secrets, legal secrets, credentials, confidential third-party information, or other unnecessary sensitive information unless the relevant Service expressly supports that use and you have the right to provide it.

14. Privacy and Data Handling

Our Privacy Policy explains how we collect, use, store, share, and protect information. By using the Services, you agree that we may process information as described in the Privacy Policy.

Akiwaki does not store raw payment card numbers or card security codes. Payment card information is processed by third-party payment providers. We may store billing status, invoice details, plan information, customer identifiers, and related payment metadata as needed to operate paid Services.

Where calendar-aware features are enabled, Akiwaki should be configured to process the minimum scheduling information needed for the feature, such as free/busy windows, scheduling horizons, and preferences, rather than event titles, descriptions, attendees, notes, contacts, or full calendar exports unless expressly disclosed and agreed.

15. Subscriptions, Trials, Payments, and Cancellation

Some Services may be free, offered during beta, sold by subscription, metered by usage, or made available under a separate order, invoice, or agreement. Prices, billing periods, plan limits, renewal terms, trial terms, cancellation rights, refund terms, taxes, and usage limits will be shown at checkout, in the applicable order, or in the product interface.

If you purchase an automatically renewing plan, you authorize Akiwaki and its payment provider to charge the applicable fees and taxes at the stated billing frequency until you cancel. You must cancel before the renewal date to avoid the next charge, unless applicable law provides otherwise.

We aim to make material subscription terms clear before purchase and to provide a reasonable cancellation method. Cancellation, refunds, renewal notices, trial disclosures, and auto-renewal practices may vary by jurisdiction and payment platform.

Except where required by law or expressly stated at checkout, in the product, or in a written agreement, fees are non-refundable and partial billing periods are not prorated.

16. API and Developer Use

API access is subject to approval, authentication, documentation, rate limits, quotas, monitoring, and any applicable API agreement, order, or developer terms. We may change API endpoints, response fields, data coverage, rate limits, authentication requirements, documentation, or access requirements, especially for beta, preview, staging, or free APIs.

Developers are responsible for their own products, user interfaces, notices, disclaimers, verification systems, monitoring, security, compliance, and downstream use of API outputs. Developers must not present API outputs as official, guaranteed, professional, regulated, safety-critical, or mission-critical data.

You may not resell, sublicense, scrape, overload, benchmark publicly, reverse engineer, bypass access controls, share API keys, or use the API to build a competing data service unless expressly permitted by Akiwaki in writing.

17. Acceptable Use

You must not misuse the Services. You agree not to:

18. Third-Party Services and Data

The Services may interact with, link to, or rely on third-party platforms, browsers, app stores, payment processors, calendar providers, email providers, data sources, holiday datasets, infrastructure providers, exchanges, APIs, or other third-party services.

Akiwaki is not responsible for third-party services, data, terms, policies, actions, omissions, outages, changes, security, privacy practices, or continued availability. Your use of third-party services may be subject to separate terms and policies.

19. Intellectual Property

Akiwaki and its licensors own the Services, including software, designs, interfaces, workflows, documentation, trademarks, logos, models, response structures, data structures, and other intellectual property, except for User Content and third-party materials.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose. No rights are granted except as expressly stated in these Terms or a separate written agreement.

20. Feedback

If you provide ideas, suggestions, bug reports, feature requests, or other feedback, you grant Akiwaki the right to use that feedback without restriction or compensation. We are not obligated to use feedback or keep it confidential unless separately agreed in writing.

21. Service Changes and Availability

We may modify, update, suspend, discontinue, restrict, or remove any part of the Services at any time. We do not guarantee that the Services will be uninterrupted, secure, error-free, compatible with every platform, or available in every country, region, language, app, browser, or device.

We may also remove or restrict features, data sources, countries, regions, cities, integrations, app surfaces, API endpoints, or access where needed for security, reliability, legal, business, technical, provider, platform, or product reasons.

22. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of accuracy, availability, reliability, merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, or course of dealing.

Akiwaki does not warrant that the Services or outputs will meet your requirements, prevent scheduling mistakes, identify every holiday or daylight-saving issue, detect every risk, find the best time, confirm real availability, satisfy professional standards, or comply with legal, medical, financial, trading, operational, safety, market, platform, or mission-critical requirements.

23. Limitation of Liability

To the maximum extent permitted by law, Akiwaki and its affiliates, officers, employees, contractors, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, financial, business, trading, medical, scheduling, operational, reputational, or data-loss damages, or for lost profits, lost revenue, lost opportunities, missed meetings, missed appointments, missed deadlines, failed trades, travel disruption, service interruption, business interruption, professional consequences, or reliance damages arising from or related to the Services.

To the maximum extent permitted by law, Akiwaki's total liability for all claims arising from or related to the Services will not exceed the greater of the amount you paid to Akiwaki for the Services in the twelve months before the event giving rise to the claim or USD $100.

The limitations in this section apply regardless of legal theory, whether based on warranty, contract, statute, tort, negligence, strict liability, or otherwise, even if Akiwaki has been advised of the possibility of damages and even if a remedy fails of its essential purpose.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the exclusions and limitations apply to the maximum extent permitted by law.

24. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Akiwaki and its affiliates, officers, employees, contractors, suppliers, and licensors from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from or related to your User Content, your products, your API integrations, your violation of these Terms, your misuse of the Services, your violation of law, your violation of third-party rights, or your use of the Services in a high-risk, regulated, professional, or mission-critical context.

25. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, create risk or possible legal exposure, fail to pay fees, abuse the Services, threaten security or reliability, or if we discontinue a Service.

Upon termination, your right to use the Services ends. Sections that by their nature should survive will survive, including payment obligations, ownership, feedback, disclaimers, limitations of liability, indemnity, and dispute-related provisions.

26. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice by reasonable means, such as posting an updated version, changing the effective date, emailing account holders, or requiring renewed acceptance.

Continued use of the Services after updated Terms become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the Services.

27. Governing Rules, Consumer Rights, and Disputes

These Terms are intended to operate to the maximum extent permitted by applicable law. Nothing in these Terms limits rights that cannot be waived under applicable consumer, privacy, subscription, platform, or other mandatory laws.

Before bringing a formal claim, you agree to contact us at legal@akiwaki.com and give us a reasonable opportunity to resolve the issue informally, unless applicable law allows you to proceed differently.

Any dispute will be handled by courts or authorities with proper jurisdiction under applicable law, unless a separate written agreement with Akiwaki provides a different dispute process.

28. General Terms

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Services.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any applicable order or written agreement, are the entire agreement between you and Akiwaki regarding the Services.

29. Eligibility and Age Requirements

You must be legally able to enter into these Terms. If you are using the Services for a company or organization, you must have authority to bind that company or organization. The Services are not intended for children or for anyone under the minimum age required to use online services in their jurisdiction. If applicable law requires parental or guardian consent, the parent or guardian is responsible for the user's activity.

We may refuse, suspend, or terminate access if we believe a user is not eligible, is using the Services on behalf of a restricted person or organization, or cannot lawfully use the Services.

30. Service Communications

We may send you service-related communications, including account notices, security notices, product updates, billing notices, legal notices, API notices, incident notices, and changes to these Terms or the Privacy Policy. These communications are part of the Services and are not optional marketing messages. Marketing communications, if any, will be handled separately where required by law.

31. Teams, Administrators, and Authorized Users

If the Services are provided through a team, workspace, organization, enterprise account, or administrator-managed environment, administrators may be able to manage access, settings, billing, connected integrations, user permissions, and certain data associated with that environment. You are responsible for ensuring that your authorized users comply with these Terms.

Akiwaki is not responsible for internal disputes between a customer, workspace, organization, administrator, and authorized users, including access decisions, permission changes, offboarding, or workspace data management.

32. Support, Security, and Service Levels

Unless a separate written agreement states otherwise, support is provided at Akiwaki's discretion and no specific response time, resolution time, uptime commitment, service level agreement, service credit, backup obligation, or support availability is promised.

We use reasonable efforts to operate and protect the Services, but no online service can be guaranteed to be secure, uninterrupted, error-free, or free from unauthorized access. You are responsible for maintaining your own backups, fallback workflows, independent verification processes, and business continuity plans.

33. Data Export, Retention, and Deletion

Depending on the product, account type, and technical availability, we may provide ways to access, export, correct, or delete certain account information or User Content. Some data may not be exportable through the product interface, and some data may be retained where required or permitted for security, fraud prevention, legal compliance, billing, tax, backup, audit, dispute resolution, or legitimate business purposes.

If your account or access is terminated, we may delete or de-identify User Content, logs, account data, API data, or other information after a reasonable period, unless retention is required or permitted by law, a written agreement, or our Privacy Policy. You should not rely on Akiwaki as your sole storage or archive for any important information.

34. Confidentiality for Business and API Use

If either party receives non-public information from the other party that is marked confidential or would reasonably be understood to be confidential, the receiving party will use reasonable care to protect it and will use it only for purposes related to the Services, unless disclosure is required by law or permitted by the disclosing party.

Confidential information does not include information that is publicly available, independently developed without use of the confidential information, rightfully received from another source without confidentiality obligations, or already known without restriction.

35. Compliance, Export Controls, and Sanctions

You must comply with all laws and regulations applicable to your use of the Services, including privacy, consumer protection, employment, communications, export control, sanctions, anti-corruption, tax, professional, and industry-specific laws. You may not use the Services if you are prohibited from doing so under applicable sanctions, export control, or trade restriction laws.

You may not use the Services for or on behalf of a person, entity, country, region, business, or activity subject to sanctions, trade restrictions, or other legal restrictions that would make providing the Services unlawful or expose Akiwaki to legal risk.

36. App Stores, Browser Stores, and Platform Terms

If you obtain or use the Services through an app store, browser extension store, marketplace, operating system, email provider, calendar provider, messaging platform, or other third-party platform, your use may also be subject to that platform's terms, policies, permissions, review rules, payment rules, and privacy practices.

Platform providers are not responsible for the Services unless their own terms say otherwise. Akiwaki is not responsible for platform decisions, removals, compatibility changes, permission prompts, review delays, store policies, operating system changes, or platform billing rules.

37. Open Source and Third-Party Components

The Services may include or use open-source software, third-party libraries, datasets, APIs, infrastructure, or other components. Those components may be subject to separate licenses or terms. Nothing in these Terms limits rights you may have under applicable open-source licenses.
